Terms of Service - ABAY Labs

1. Acceptance of Terms

By accessing or using ABAY Labs or any other services provided by Abay Labs LLC ("ABAY Labs," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

ABAY Labs is a Voice over Internet Protocol (VoIP) application that enables users to make international calls to Ethiopia and Eritrea. The service requires an internet connection and prepaid credit balance.

3. Account Registration

You must provide accurate and complete information during registration
You are responsible for maintaining the security of your account
You must be at least 18 years old to create an account
One account per person; multiple accounts are not permitted

4. Payments and Billing

Prepaid Service

ABAY Labs operates on a prepaid basis. You must maintain a positive balance to make calls. Calls are billed per minute, rounded up to the nearest minute.

Rates

Current rates are displayed in the app. Rates are subject to change with notice. Ethiopia: $0.225/minute. Eritrea: $0.25/minute.

Refunds

Unused credit balances are non-refundable except where required by law. Credit does not expire.

5. SMS Communications and Consent

By providing your phone number and creating an account, you expressly consent to receive SMS messages from ABAY Labs, including:

Verification codes – One-time passwords (OTP) for account login and security
Transaction alerts – Payment confirmations and low balance warnings
Account notifications – Security alerts and important service updates

Message Frequency

Message frequency varies based on your account activity. Typically 1-5 messages per month for active users. Messages are transactional only; we do not send marketing SMS.

Message and Data Rates

Standard message and data rates may apply based on your mobile carrier plan.

Opt-Out

You may opt out of SMS messages at any time by:

Replying STOP to any message
Emailing support@abaylabs.com
Disabling SMS notifications in app settings

Note: Opting out of verification codes may prevent you from logging into your account.

6. Acceptable Use

You agree not to:

Use the service for illegal purposes or to harass others
Attempt to reverse engineer or hack the application
Resell or commercially exploit the service without authorization
Use automated systems to make calls
Interfere with or disrupt the service

7. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability. Service quality depends on your internet connection and network conditions. We may perform maintenance that temporarily affects service availability.

8. Emergency Services

IMPORTANT: ABAY Labs is NOT a replacement for traditional phone service and CANNOT be used to contact emergency services (911). Always have access to a traditional phone for emergencies.

9. Intellectual Property

The ABAY Labs app, ABAY Labs brand, and all related content are owned by Abay Labs LLC. You may not copy, modify, or distribute our intellectual property without permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABAY LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

11. Termination

We may suspend or terminate your account for violation of these terms. You may close your account at any time through the app settings. Upon termination, your remaining balance will be forfeited unless otherwise required by law.

12. Changes to Terms

We may update these Terms of Service from time to time. Continued use of the service after changes constitutes acceptance of the new terms. We will notify you of significant changes through the app or via email.

13. Governing Law

These terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.
